Policy Statement
Unmanaged conflict of interest may have an adverse effect on the best interests of LSKC and its members and also on LSKC’s reputation. LSKC wishes to avoid this.
LSKC’s Committee is required to act in the best interests of the organisation at all times and to put these interests before any other personal interest.
LSKC Committee members should not materially profit either directly or indirectly from their position on the LSKC Committee.
Policy
All Committee members of LSKC will seek to avoid any conflict of interest between the interests of LSKC on the one hand, and personal, professional, and business interests on the other. This includes avoiding perception of conflicts of interest, as well as actual conflicts of interest.
The purpose of this policy is to protect the integrity of LSKC’s decision-making process, to enable stakeholders to have confidence in its integrity, and to protect the integrity and reputation of the Club, its members, and its Committee members.
Examples of possible conflicts of interest could include:
- A Committee member who is also on the committee of another organisation which is competing for funding from the same source.
- A Committee member who is associated directly or through family or other links with a supplier who is seeking to supply goods or services to LSKC.
- Where the Committee is considering a decision to allocate financial support to certain Club members, and a Committee member or members could be a beneficiary of that decision.
Procedure for Dealing with Conflicts of Interests
On appointment each Committee member will make a full, written disclosure of interests, such as relationships, and posts held, that could potentially result in a conflict of interest. This written disclosure will be kept on file and will be updated as appropriate.
In the course of meetings or activities, individual Committee members will disclose any interests in a transaction or decision where there may be a conflict or perceived conflict between LSKC’s best interests and the Committee member’s interests.
In the event of a disclosure by a Committee member or members of a possible conflict of interest, the remaining members may ask the member in question to leave the room for the discussion. The remaining members may then decide –
- that the member should not take part in the discussion or decision; or
- that the member should take part in the discussion but not the decision or vote; or
- that the best interests of the Club are served by allowing the member to participate in discussion and decision despite the conflict.
Any such disclosure and the subsequent actions taken will be recorded in the note of the meeting.
This policy is meant to supplement good judgment and Committee members should respect its spirit as well as its wording.
Review and Revisions
The registers for all Committee members will be reviewed on an annual basis at the next full Committee meeting following the AGM.
