Where decisions are required, they will normally be taken at Committee meetings and minuted.
Most decisions are likely to be unanimous. But if that is not possible, decisions may be put to a vote. The decision supported by the votes of a simple majority of those present will be adopted. In the event of a tie the Chair shall have a casting vote.
The constitution sets a quorum of six for Committee meetings.
From time to time decisions which are routine or urgent will be required between normal meetings of the Committee. These may be dealt with by e mail. It will however be open to any Committee member to request that a decision proposed to be resolved by e mail should instead be put to a formal Committee meeting.
If a decision is to be dealt with by e mail, the proposal should be set out in an e mail to all Committee members, and their decisions sought.
The e mail heading should include the words “Decision required”
Normally the decision should be sought within 7 days; and that deadline should also appear in the e mail heading.
But a longer period may be allowed; and in cases of urgency, a shorter period. In either case this should be made clear in the e mail heading.
The requirement for a simple majority and arrangement in the case of a tie are as for formal Committee meetings.
If there are fewer than six responses by the deadline the proposal either falls or is taken to the next Committee meeting.
Where a decision is taken by e mail, it will be recorded by the Secretary in the note of the next Committee meeting
